3. User Obligations and Prohibited Uses

By using our Services, you agree to:

Upon full payment, clients will own the specific deliverables created for their engagement, subject to our retained rights to:

• Pre-existing intellectual property
• General knowledge and experience gained

4.3 License Grant

We grant you a limited, non-exclusive, non-transferable license to access and use our website for lawful purposes only.

5. Confidentiality

Both parties acknowledge that during the course of our engagement, they may have access to confidential information. We commit to:

6. Payment Terms and Fees

6.1 Fees

Consulting fees will be specified in the Statement of Work or engagement letter. All fees are exclusive of applicable taxes, which will be added as required by law.

6.2 Payment Schedule

Unless otherwise agreed, invoices are payable within 30 days of the invoice date. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

6.3 Expenses

Reasonable out-of-pocket expenses incurred in connection with our Services will be billed separately with supporting documentation.

7. Limitation of Liability and Disclaimers

7.1 Service Disclaimer

Our Services are provided "as is" and "as available." We make no warranties, express or implied, regarding:

• Uninterrupted or error-free service delivery
• The results that may be obtained from using our Services

7.2 Limitation Amount

Our total liability arising out of or related to any engagement shall not exceed the total fees paid by the client for the specific Services giving rise to the claim.

Our Services constitute advisory services only. All decisions based on our recommendations remain the sole responsibility of the client.

8. Indemnification

You agree to indemnify, defend, and hold harmless Zen 360 Consulting, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

• Your violation of these Terms
• Your violation of any third-party rights
• Your use or misuse of our Services

9. Termination

9.1 By Either Party

Either party may terminate an engagement by providing written notice as specified in the Statement of Work. Standard notice period is 30 days unless otherwise agreed.

9.2 For Cause

We may terminate immediately if you:

• Breach any material term of these Terms
• Fail to make timely payments
• Engage in conduct that harms our reputation

9.3 Effects of Termination

Upon termination, you remain liable for all fees incurred up to the termination date. Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good faith negotiations. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in Patna, Bihar, India.

11. Miscellaneous Provisions

11.1 Entire Agreement

These Terms, together with any SOW or engagement letter, constitute the entire agreement between you and Zen 360 Consulting regarding our Services.

11.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

11.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

11.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
